Annual Reports: Keeping Your U.S. LLC in Good Standing

Most states ask an LLC to file an annual (or biennial) report and pay a fee to stay active. The report itself is short — usually confirming your registered agent and principal address — but missing it has real consequences.

What a missed report leads to

  1. A late fee.
  2. Loss of good standing, which banks and payment platforms check.
  3. Administrative dissolution if it stays unresolved.

How the three popular states differ

  • Wyoming — an annual report with a license tax, due on the first day of the month the LLC was formed.
  • Delaware — no annual report for LLCs, but a flat annual tax due June 1.
  • New Mexico — no annual report for LLCs.

The federal side is separate

State reports and IRS filings are two different systems. Filing the Wyoming annual report does nothing for your Form 5472, and vice versa. Keep both on the same calendar.
